日本汽车制造业巨头丰田汽车公司旗下两家贸易公司——丰田通商和东绵公司计划在明年完成合并工作,这将帮助母公司更好地实现全球扩展计划,合并后的公司将成为日本第6大贸易公司。
据法新社10月8日报道,这两家企业将于明年4月正式合并。合并后,新公司总销量将达到4.9万亿日元(合430亿美元),这将帮助丰田母公司更好地贯彻全球业务战略计划。
目前,丰田通商公司总销量的70%来自于汽车产品,其中绝大部分都是丰田自己生产的汽车,另外金属及机械产品也占据很大比重。合并后的丰田通商将保持原有的实体。东绵贸易公司的主营业务则集中在纺织品、电子以及化学产品领域。实际上,在此之前东绵公司就开始了重组计划,母公司丰田资助的约100亿日元为其提供了很大的帮助。
报道说,合并后的控股比例将在东绵公司完成与日联银行(UFJ Bank Ltd.)和其它一些借贷方的商谈之后最终决定。据估算,丰田汽车在新合并的公司中所掌控的股份将略微高于20%,其中包括间接持有的部分。
Japanese trading houses Toyota Tsusho Corp. and Tomen Corp., both arms of auto giant Toyota Motor, plan to merge in April next year, creating the nation's sixth-largest trading firm, a newspaper reports.
The new company with combined sales of 4.9 trillion yen (43 billion dollars) is expected to take on a key role in Toyota Motor's global business strategy, the Nihon Keizai Shimbun reported.
Toyota Tsusho, which generates about 70 percent of its sales from automobiles -- mostly Toyota cars -- as well as metals and machinery products, will be the surviving entity, the business daily said.
Tomen, specialising in textiles, electronics and chemicals, has been undergoing restructuring while receiving support from Toyota, which has provided some 10 billion yen in capital.
The merger ratio will be determined after Tomen settles its negotiations with UFJ Bank Ltd. and other lenders on the treatment of the roughly 72 billion yen in preferred shares it issued to these creditors, Nihon Keizai said.
Toyota Motor's stake in the new trading house is expected to be slightly more than 20 percent, including the portion that is owned indirectly.
